Pioneer Terms of Service
Effective date: August 25, 2026
These Terms of Service ("Terms") are an agreement between Mycorrxyz Inc. (doing business as Pioneer, "Pioneer," "we," "us"), a Delaware corporation with offices at 2261 Market St STE 93885, San Francisco, CA 94114, and the customer accepting them ("Customer," "you"). Capitalized terms not defined inline have the meanings in Section 19 (Definitions).
Each individual who creates an account or uses the Service accepts these Terms, for themselves and, where applicable, on behalf of the entity they represent, which they represent they have authority to bind. "Customer" refers to that entity (or the individual, if using the Service personally).
1. The Service
Pioneer is an AI-powered platform for sales, business development, and other research and work processes. The Service performs AI-assisted work for Customers, such as discovering, researching, and qualifying business opportunities, and conducting other research and generation tasks, by combining Customer Inputs with information gathered from public and licensed sources, processed using AI Models. The Service includes the features described in the Documentation and will evolve over time.
2. Accounts and Authorized Users
2.1 Registration. You must provide accurate information and use a work email address. Your organization workspace is created based on your email domain; users who share your domain may join your Organization.
2.2 Credentials. You are responsible for safeguarding access to your Account and for all activity under it. Notify us promptly at privacy@pioneerclimate.com of any unauthorized use.
2.3 Authorized Users. You may invite team members to your Organization. Each team member accepts these Terms when they first sign in. Customer remains responsible for its Authorized Users' use of the Service.
3. Fees and Payment
3.1 Fees. Paid features are offered as described at our pricing page or in an order. Certain features consume usage allotments or credits as described there; credits have no cash value.
3.2 Payment. Fees are billed through our payment processor, and you authorize recurring charges for subscription plans and usage-based fees. Fees exclude taxes, which are your responsibility (excluding taxes on our income). Pricing changes take effect at your next renewal, with prior notice.
3.3 Refunds. Except where required by law, fees are non-refundable; refunds or credits may be offered case by case at Pioneer's discretion. You may cancel at any time, effective at the end of the current billing period.
4. Customer Data and Inputs
4.1 Ownership. You own Customer Data. You grant Pioneer a worldwide, non-exclusive license to host, process, transmit, and display Customer Data as necessary to provide and support the Service, comply with law, and enforce these Terms.
4.2 Responsibility. You are responsible for the accuracy and legality of Customer Data, including having a lawful basis to import information about your professional contacts.
4.3 Usage information. Pioneer collects information about use of the Service as described in the Privacy Policy, and may use Usage Data (in aggregated or de-identified form) to operate and improve the Service.
5. Output and Public Information
5.1 Output. As between you and Pioneer, you own the Output generated for your Organization and may use it for your business purposes, including conducting outreach to identified prospects, subject to Section 7 (Acceptable Use).
5.2 Public Information is not exclusive. Output and lead records are built in part from Public Information: information from publicly available and licensed sources. Public Information is owned by no one: the same or similar information may appear in results provided to other customers, and Pioneer retains the right to collect, maintain, and provide information from such sources independently of any customer.
5.3 Accuracy disclaimer. Output is generated with the assistance of AI Models and automated research and may be inaccurate, incomplete, or outdated. The Service is a research aid, not a system of record. You must review Output before relying on it or contacting any person based on it.
5.4 No professional advice. Output is not legal, financial, or professional advice.
6. AI Features
The Service uses AI Models provided by third parties. You acknowledge that: (a) AI-generated content may contain errors and should be independently verified; (b) similar prompts may produce similar outputs for other customers; and (c) Pioneer may change the AI Models used to provide the Service, provided the Service continues to materially conform to the Documentation.
Pioneer does not use Customer Data to train AI models, and our AI providers are contractually prohibited from using data submitted through their APIs to train theirs.
7. Acceptable Use
You will not, and will not permit anyone to:
- use the Service to violate law, including anti-spam (e.g., CAN-SPAM, CASL), telemarketing, and data-protection laws (compliance of your outreach is your responsibility);
- use Output or lead data for unlawful discrimination, harassment, deception, or determination of eligibility for credit, employment, insurance, or housing (the Service is not a consumer reporting agency and provides no FCRA-governed data);
- resell, redistribute, or make available lead data or the Service to third parties as a standalone data product;
- scrape, crawl, or bulk-export the Service other than through provided export features;
- circumvent usage limits, credits, or access controls; probe or test the vulnerability of the Service except per our Vulnerability Disclosure Policy;
- reverse engineer the Service except to the extent permitted by law;
- upload malicious code or content you lack rights to.
We may suspend access for material or repeated violations, with notice where practicable.
8. Third-Party Services
The Service interoperates with Third-Party Services (e.g., AI providers, data sources, and optional integrations you connect such as Google). Third-Party Services are governed by their own terms; Pioneer is not responsible for them and does not guarantee their continued availability.
9. Privacy
Our collection and use of personal information is described in the Privacy Policy. For customers requiring it, our Data Processing Agreement applies to personal data processed on your behalf.
10. Intellectual Property
Pioneer and its licensors own the Service, the AI systems, software, and Documentation, and all related intellectual property. No rights are granted except as expressly stated. If you provide feedback, you grant Pioneer a perpetual, irrevocable, royalty-free license to use it without restriction.
11. Confidentiality
11.1 Each party will protect the other's Confidential Information with at least the care it uses for its own similar information (and no less than reasonable care), use it only to perform under these Terms and operate the relationship, and not disclose it except to personnel, affiliates, and advisors who need it and are bound by confidentiality obligations at least as protective.
11.2 Confidential Information excludes information that is or becomes public through no fault of the recipient, was known to the recipient without restriction, is independently developed, or is rightfully received from a third party.
11.3 A party may disclose Confidential Information where required by law, with prompt notice to the other party where legally permitted.
11.4 These obligations survive for three (3) years after termination; obligations for trade secrets survive as long as the information remains a trade secret. For clarity, Customer Data is protected under Sections 4 and 9 (and the DPA where applicable), not merely this Section.
12. Warranties and Disclaimers
Each party warrants it has the authority to enter these Terms. Except as expressly stated, the Service is provided "AS IS" and "AS AVAILABLE." Pioneer disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy, completeness, or reliability of Output or any information provided through the Service. Pioneer does not warrant that the Service will be uninterrupted or error-free.
13. Limitation of Liability
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or data; and (b) each party's total liability arising out of these Terms is capped at the amounts paid or payable by Customer to Pioneer in the 12 months before the event giving rise to liability. These limits do not apply to Customer's payment obligations, Customer's breach of Section 7 (Acceptable Use), or Customer's indemnification obligations under Section 14.2.
14. Indemnification
14.1 By Pioneer. Pioneer will defend Customer against third-party claims alleging that the Service (excluding Customer Data and Third-Party Services) infringes their intellectual property rights, and will pay resulting damages finally awarded, provided Customer promptly notifies Pioneer and cooperates. Pioneer may modify or replace the Service to avoid infringement, or terminate and refund prepaid unused fees.
14.2 By Customer. Customer will defend Pioneer against third-party claims arising from Customer Data, Customer's outreach or use of Output, or Customer's violation of Section 7, and will pay resulting damages finally awarded.
15. Term, Suspension, and Termination
15.1 These Terms apply while you use the Service. Either party may terminate for material breach uncured within 30 days of notice. You may cancel your subscription at any time; Pioneer may terminate free accounts with 30 days' notice.
15.2 Effect. Upon termination, your access ends. Customer Data (including your Organization's lead and contact records) will be deleted per the timelines in our Privacy Policy and DPA. You may export your data before termination using available export features. Sections that by their nature survive (including 4.3, 5.2, 10–14, 16–19) survive.
16. Modifications
We may update these Terms. If a change reduces your rights or increases your obligations, we will provide at least 30 days' notice by email or in-product before it takes effect; other changes (such as clarifications, new features, or changes required by law) are effective when posted. Continued use after the effective date constitutes acceptance; if you object, your remedy is to stop using the Service and cancel before the change takes effect.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of California, excluding conflict-of-laws rules. The parties will first attempt in good faith to resolve any dispute informally by notice to the other. Any dispute not resolved informally will be resolved exclusively in the state or federal courts located in San Francisco County, California, and the parties consent to personal jurisdiction there. Each party waives any right to a jury trial and to participate in a class action.
18. General
Notices to Pioneer: Mycorrxyz Inc., 2261 Market St STE 93885, San Francisco, CA 94114, with a copy to privacy@pioneerclimate.com. Notices to Customer: your Account email. Neither party may assign these Terms without consent, except to a successor in a merger or sale of substantially all assets. No waiver is implied by inaction. If a provision is unenforceable, the rest remain in effect. These Terms plus referenced policies are the entire agreement and supersede prior discussions. The parties are independent contractors. Neither party is liable for delay caused by events beyond its reasonable control.

The following defined terms apply throughout these Terms.

| Authorized User | An individual authorized by Customer to use the Service under Customer's Account. |
| Account | The Customer's registered instance of access to the Service. |
| Customer Data | Data submitted to or maintained in the Service by or for Customer, including Inputs, uploaded content, pipelines and their contents (including lead and prospect records), and professional contacts Customer imports (e.g., network imports). Excludes Service Data and Usage Data. |
| Input | Content, instructions, criteria, or materials Customer submits to the Service. |
| Output / Generated Content | Content generated by the Service for Customer in response to Inputs, including leads, research summaries, and drafts. Customer owns Output, except that Public Information contained in Output remains non-exclusive and owned by no one. |

| Intellectual Property | Patents, copyrights, trademarks, trade secrets, and all other intellectual property rights. |
| Documentation | Pioneer's published usage guides and descriptions of the Service. |
| AI Model | A machine-learning model used by the Service to generate Output, whether provided by Pioneer or a Third-Party Service. |
| Subprocessor | A third party engaged by Pioneer to process Customer Data or Personal Data on Pioneer's behalf. |
| Third-Party Service | A service not operated by Pioneer that interoperates with or is used by the Service. |
| Security Incident | A confirmed breach of security leading to accidental or unlawful destruction, loss, alteration, or unauthorized disclosure of or access to Customer Data or Personal Data. |
| Applicable Law | All laws, regulations, and rules applicable to a party's performance, including data protection laws such as GDPR and CCPA/CPRA where they apply. |
